1. Introduction

AIMINDS360 (“AIMINDS360,” “Company,” “we,” “us,” or “our”) is a global brand operated by:

• Northstarguru LLC, a limited liability company organized under the laws of the State of Texas, United States, serving customers located in North America and other regions outside North America (excluding India).
• Bolster Tech Innovation Private Limited, a company incorporated under the laws of India, serving customers located in India.

The applicable contracting entity shall depend on your country of residence and the location from which you access our services.

These Terms of Use (“Terms”) govern your access to and use of the AIMINDS360 website, applications, platforms, training programs, AI products, consulting services, digital content, and related offerings (collectively, the “Services”).

By accessing or using the Services, you agree to be legally bound by these Terms.

2. Eligibility

You represent and warrant that:

• You are at least eighteen (18) years old.
• You have the legal capacity to enter into binding agreements.
• All information provided by you is accurate and complete.

If you do not meet these requirements, you must not use the Services.

3. Description of Services

• Artificial Intelligence training and education programs

• AI software and SaaS products

• Live and recorded sessions

We reserve the right to modify, suspend, or discontinue any Service at any time without prior notice.

4. User Registration

To access certain Services, you may be required to create an account and provide:

• Contact information

You agree:

• To maintain only one account
• Not to share your credentials
• To notify us immediately of any unauthorized access

We may suspend or terminate accounts that violate these Terms.

5. Fees and Payments

Invoices shall be issued by the applicable operating entity based on your location. Failure to make timely payment may result in suspension of access.

Unless otherwise specified:

• Refund requests must be submitted in writing within fourteen (14) days of program commencement.
• Refunds will not be granted after the refund window expires.
• Approved refunds will be processed within thirty (30) days.

All content, materials, AI models, source code, training materials, videos, logos, trademarks, designs, frameworks, and documentation are the exclusive property of AIMINDS360 and its operating entities.

You may not:

• Reproduce
• Distribute
• Modify
• Reverse engineer
• Commercialize
• Resell

any content without prior written authorization. All rights not expressly granted are reserved.

8. License to Use

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services solely for lawful personal or authorized business purposes. No ownership rights are transferred to you.

9. AI-Specific Disclaimer

You acknowledge and agree that:

• AI-generated outputs may contain inaccuracies
• AI outputs should not be relied upon as professional, legal, medical, financial, or regulatory advice
• You are solely responsible for reviewing and validating AI-generated outputs before implementation

We disclaim liability for decisions made based on AI-generated content.

10. User Conduct

You agree not to:

• Violate applicable laws
• Upload malicious software
• Interfere with the Platform
• Attempt unauthorized access
• Use scraping, bots, or automated extraction tools
• Copy or redistribute proprietary materials

Violation may result in immediate termination.

11. User-Submitted Content

If you submit content, including feedback, assignments, prompts, or data, you grant AIMINDS360 a worldwide, royalty-free, non-exclusive license to use such content for service improvement, training, research, and marketing, subject to applicable privacy laws.

12. Disclaimers

All Services are provided “AS IS” and “AS AVAILABLE.”

We do not guarantee:

• Employment or job placement
• Business outcomes
• Error-free operation
• Continuous availability

Your use of the Services is at your own risk.

13. Limitation of Liability

To the maximum extent permitted by law:

• Neither operating entity shall be liable for indirect, incidental, special, or consequential damages.
• Total aggregate liability shall not exceed the greater of:
  • USD $100, or
  • The total amount paid by you in the preceding six (6) months.

14. Indemnification

You agree to indemnify and hold harmless the applicable operating entity, its affiliates, officers, and employees from any claims arising out of:

• Your violation of these Terms
• Your misuse of the Services
• Infringement of third-party rights

15. Termination

We may suspend or terminate access at our sole discretion if you:

• Breach these Terms
• Engage in fraudulent or unlawful conduct
• Infringe intellectual property rights

Termination does not relieve you of outstanding payment obligations.

16. Governing Law

For users located in North America and outside North America (excluding India), these Terms shall be governed by the laws of the State of Texas, United States.

For users located in India, these Terms shall be governed by the laws of India.

17. Dispute Resolution

For users located in North America and outside North America (excluding India), disputes shall be resolved through binding arbitration in Texas.

For users located in India, disputes shall be resolved through arbitration in India in accordance with applicable arbitration laws.

18. Severability

If any provision is found unenforceable, the remaining provisions shall remain in full force and effect.

19. Entire Agreement

These Terms, together with the Privacy Policy and any supplemental agreements, constitute the entire agreement between you and AIMINDS360.
